IRDAI Cuts Insurer Share Transfer Approval Fee by 80% to ₹10 Lakh; Issues New IPO Rules

Insurance companies will now have to pay considerably less to seek regulatory approval for share transfers. As per news reports, the Insurance Regulatory and Development Authority of India (IRDAI) has reduced the processing fee by 80%, bringing it down from ₹50 lakh to ₹10 lakh.
The change is part of a new master circular covering insurer registration, ownership changes, capital structure and amalgamations. It takes effect from the date of issuance.
Share Transfer Approval Fee Comes Down to ₹10 Lakh
Under the revised rules, the fee for approvals under Regulation 22(4) has been cut by ₹40 lakh. However, fees already paid before the notification will not be refunded.
IRDAI has also clarified the treatment of pending applications. Earlier NOC applications filed before notification of the Registration (Amendment) Regulations, 2026, will not attract the prescribed processing fee. Applications filed afterwards must include the applicable payment.
Insurers Face Clearer Rules for IPOs
Insurance companies planning to list their shares will have to provide details of their existing and expected post-listing shareholding. Separate information will be required for shareholders holding more than 1% of paid-up equity capital.
The disclosures must also explain the initial public offering (IPO) size and purpose, including the fresh issue of shares and any offer for sale by existing shareholders.
The managing director or CEO must certify the accuracy of the disclosures and confirm compliance with applicable laws and protection of policyholders' interests.
Prior Approval Required for Certain ESOP Transactions
The circular also brings employee stock option transactions under closer regulatory oversight.
Certain equity issuances through employee trusts and stock option exercises by directors or key managerial personnel will require prior IRDAI approval if statutory ownership limits are breached.
New Reporting Rules for Amalgamations and Capital Issues
Proposed insurer amalgamations and transfers will require an independent actuarial assessment of their impact on solvency, technical reserves, product pricing and financial condition.
Insurers issuing Other Forms of Capital must also submit detailed allotment information within 15 days.
Conclusion
The revised framework reduces the cost of share transfer approvals while setting out additional disclosure and reporting requirements for insurance companies.
