Adani Commodities Sells 13% Stake in AWL Agri Business to Lence Pte

AWL Agri Business Limited has announced significant updates regarding its promoter arrangements following a major stake transfer from Adani Commodities LLP to Lence Pte. Ltd. The development marks a shift in control and concludes previous promoter agreements.
ACL Transfers 13% Equity Stake to Lence
On November 19, 2025, Adani Commodities LLP (ACL) completed an off-market sale of 16,89,58,219 equity shares, representing 13% of AWL Agri Business’s paid up capital, to Lence Pte. Ltd., a wholly owned subsidiary of Wilmar International. The transfer follows the share purchase agreement announced earlier in July 2025, where Lence had the option to acquire up to 20% equity at ₹275 per share.
Termination of Long-Standing Shareholders’ Agreement
Alongside the stake sale, AEL, ACL, Lence and the Company executed a termination agreement ending the shareholders’ agreement originally established in 1999. The agreement, including all amendments, now stands fully cancelled. All rights, obligations and provisions of the earlier agreement cease to have effect.

Impact on Control and Promoter Structure
With the sale of 13% equity, Lence now holds sole control of the Company. The Company has clarified that it does not hold any shares in ACL, AEL or Lence. The termination agreement supersedes all earlier terms and places no new restrictions or liabilities on AWL Agri Business.
AWL Agri Business Share Price Performance
As of November 19, 2025, at 3:30 PM, AWL Agri Business share price was closed at ₹275.80 up by 2.47% from the previous closing price.
Conclusion
The termination of the shareholders’ agreement and the 13% equity acquisition by Lence represent a structural change in the promoter framework of AWL Agri Business. The transition marks a shift in control and concludes long-standing contractual arrangements.
