About Svatantra Microfin IPO

Svatantra Microfin’s IPO comprises a Fresh Issue of up to ₹1,500 crore and an Offer for Sale of up to ₹1,500 crore, taking the total offer size to ₹3,000 crore. 

Axis Capital Limited is the book-running lead manager, while MUFG Intime India Private Limited is the registrar of the issue. 

Industry Outlook 

  • The global microfinance market crossed USD 250 billion in 2025, with Asia-Pacific accounting for around 50%–55% of the market. India had an estimated 71 million microfinance borrowers as of December 2025.  

  • The Indian microfinance sector’s AUM grew from ₹11,700 crore in FY09 to ₹3,31,000 crore in FY26, reflecting a long-term CAGR of 21.73%. After peaking at ₹4,42,700 crore in FY24, the sector saw a decline in FY25 and FY26 amid tighter credit controls and borrower deleveraging.  

  • Asset quality showed signs of improvement in FY26, with PAR 31–90 DPD declining from 2.40% in Q1FY26 to 0.82% in Q4FY26. Collection efficiency for the 0 DPD bucket stood at 96.42% in FY26.  

  • India's microfinance AUM is projected to grow at 18%–20% CAGR between FY26 and FY29, reaching around ₹5,50,000–₹5,60,000 crore. NBFC-MFIs are expected to grow faster at 20%–22% CAGR.  

  • Borrower-level safeguards, including a maximum of 3 active microfinance lenders per borrower and a ₹2 lakh cap on total microfinance and unsecured debt, are aimed at improving credit discipline and reducing over-indebtedness.  

  • The Credit Guarantee Scheme for Microfinance Institutions-2.0, introduced in March 2026, is expected to support credit flow to MFIs by providing guarantee cover to lenders against losses.  

  • Northern and western India remain relatively underpenetrated compared with eastern and southern regions, providing MFIs with scope for geographic expansion.  

  • NBFC-MFIs increased their share of microfinance AUM from 37.68% in FY22 to 43.68% in FY26, while commercial banks' share declined from 36.90% to 26.40%.  

  • Microfinance operations are increasingly using UPI, Aadhaar, e-KYC, digital onboarding and AI-based credit assessment, while cashless disbursements have become close to 100% among major players.  

  • Housing credit is expected to grow at 11%–13% CAGR through FY29, while the affordable housing finance market below ₹25 lakh stood at ₹13.27 lakh crore in FY26 and is projected to grow at 5%–7% CAGR through FY29.  

  • The LAP segment is projected to grow at 19%–21% CAGR through FY29, with loans below ₹25 lakh expected to grow at 17%–19%, supported by demand for secured credit from MSMEs. 

Svatantra Microfin IPO Objectives 

The company proposes to utilise the net proceeds from the issue for the following purposes: 

  1. Fresh Issue: Up to ₹1,500 crore, with the net proceeds primarily intended to augment the company’s Tier-I capital base and support onward lending.  

  1. Issue Expenses: A portion of the Fresh Issue proceeds will be used to meet offer-related expenses, including listing fees and other transaction costs.

Svatantra Microfin Limited is an NBFC-MFI providing financial services to economically weaker and underserved borrowers across India.  

The company primarily provides microfinance loans through the Joint Liability Group (JLG) model, mainly to women borrowers in rural and semi-urban areas. It also offers individual loans to select non-JLG borrowers.  

Through its subsidiary SMHFCL, the company operates a secured housing finance business, adding another lending segment to its portfolio.  

Svatantra has a pan-India presence supported by a technology-enabled phygital operating model covering borrower acquisition, underwriting, disbursement and collections.  

As of March 31, 2026, the company and its subsidiary had a combined workforce of 26,835 employees, including 24,594 employees at Svatantra Microfin and 2,241 at SMHFCL.

 Strengths and Opportunities of Svatantra Microfin IPO  

  • Svatantra is the second-largest NBFC-MFI in India by microfinance AUM. Its standalone microfinance AUM grew at a 20.87% CAGR between FY24 and FY26 to ₹21,093.22 crore.  

  • The company’s share of India’s overall microfinance sector increased from 3.26% in FY24 to 6.37% in FY26, supported by growth in its borrower base and loan portfolio.  

  • Svatantra reported a Gross Stage 3 ratio of 1.19% in FY26, while its Net Stage 3 ratio stood at 0.28%, supported by a conservative provisioning approach.  

  • The company had a cost of funds ratio of 5.94% and overall cost of borrowings of 8.15% in FY26. Its credit profile is supported by AA (Stable) ratings from CRISIL and CareEdge.  

  • Svatantra operates through 2,253 branches across 23 states/UTs and 446 districts. No single state contributed more than 23.02% of standalone AUM, limiting geographic concentration.  

  • The company received a combined ₹1,930 crore capital infusion from Advent International and Multiples Private Equity in 2024. It also acquired and integrated Chaitanya India Fin Credit Private Limited in FY24.  

  • India's microfinance AUM is projected to grow at 18%–20% CAGR through FY29, while NBFC-MFIs are expected to grow at 20%–22%, creating scope for further expansion.  

  • Through SMHFCL, Svatantra operates a secured housing finance business. Its secured assets stood at ₹2,724.56 crore, or 11.44% of consolidated AUM, in FY26. 

  • The company can expand its individual loan portfolio for eligible borrowers, providing an additional lending option beyond the traditional JLG model.  

  • Svatantra uses digital and AI-enabled tools for credit underwriting, field management and repayments, which can support operational efficiency as the business scales. 

Risks and Threats of Svatantra Microfin IPO 

  • Svatantra primarily serves low-income rural women, who may be more exposed to inflation, adverse weather conditions and economic slowdowns. A large part of its microfinance portfolio is also unsecured, limiting recovery options in case of defaults.  

  • The consolidated Gross Stage 3 ratio stood at 1.37% as of March 31, 2026, compared with 2.34% in FY25 and 2.00% in FY24. Any increase in borrower defaults could raise credit costs and provisioning requirements.  

  • As of March 31, 2026, Svatantra had ₹15,213.84 crore of floating-rate borrowings, while ₹3,399.42 crore of its lending portfolio carried fixed rates. A rise in borrowing costs without a corresponding increase in lending rates could pressure margins.  

  • RBI inspections have identified concerns relating to credit appraisal, credit policy adherence, NPA reporting, KYC processes and compliance controls. Its housing finance subsidiary has also faced certain regulatory observations.  

  • Cash collections accounted for 79.22% of total collections in FY26, exposing the company to risks related to cash handling, fraud, theft and operational errors across its extensive branch network.  

  • High attrition among frontline field staff could affect customer relationships, collection efficiency and day-to-day operations.  

  • Through SMHFCL, Svatantra is exposed to risks related to borrower defaults, property title issues, construction delays and the performance of the low-to-middle-income housing segment. Write-offs at SMHFCL increased from ₹1.67 crore in FY24 to ₹8.18 crore in FY26.  

  • The company uses securitisation and assignment of loan receivables to raise funds. Deterioration in the underlying loan pools could result in the invocation of credit enhancement provided to investors.  

  • Changes in state-level microfinance regulations, restrictions on lending or collection practices, and loan waiver or debt-relief schemes could affect repayment behaviour and the company's operations.
