About Reliance JIO IPO

JIO Platforms Limited, a subsidiary of Reliance Industries Limited (RIL), under the conglomerate led by Mukesh Ambani, has previously filed its DRHP with SEBI on Jun 19, 2026 and received its approval on Aug 28, 2026. It is a 100% book-built issue comprising a fresh issue of up to 270,000,000 equity shares with a face value of ₹10 each, with no offer-for-sale component. The equity shares are proposed for listing on the BSE and NSE platforms. 

 Kotak Mahindra Capital Company Limited. is the book-running lead manager, and KFin Technologies Limited is the registrar. Key details, including the issue size aggregate, IPO dates, price band, and lot size, are yet to be announced.

  1. India’s wireless subscriber base reached 1,168.95 crore in May 2024, with Reliance Jio leading at 474.61 crore users, contributing 40.6% market share.
  2. India’s e-commerce market is projected to grow to US$ 325 billion by 2030, with the quick commerce segment estimated to reach US$ 19.93 billion.
  3. Satellite constellation-based solutions have been identified by the Analysys Mason Report as a potential major technological disruptor for expanding coverage, addressing remote connectivity gaps, and serving specialised enterprise and government applications.
  4. The industry is undergoing capital-intensive upgrades from legacy networks to 5G and future next-generation standards, driving demand for fibre-based backhaul, cloud-native Radio Access Networks (RAN), and modernised core network slicing capabilities.

Strengths and Opportunities of Reliance JIO Platforms Limited

  1. Jio Platforms operates as India's leading digital connectivity platform through its material subsidiary, RJIL, serving 524.4 million subscribers as of March 31, 2026, and carrying approximately 60% of India’s wireless data traffic in Fiscal 2026.
  2. The company demonstrated consistent top-line and bottom-line expansion, with Revenue from Operations increasing from ₹1,095,581 million in Fiscal 2024 to ₹1,468,853 million in Fiscal 2026, generating a Profit for the Year of ₹300,491 million in Fiscal 2026.
  3. RJIL holds a pan-India spectrum footprint across low, mid, and high bands (valid for 20 years, mostly expiring between 2041 and 2042). The passive infrastructure network includes 360,382 Network Towers and extensive fibre deployments supporting standalone 5G and 4G services.

Risks and Threats of JIO Platforms Limited IPO

  1. Reliance Jio Infocomm Limited’s (RJIL) unified telecom licence expires in October 2033, and its spectrum holdings, while valid for 20 years (mostly expiring between 2041 and 2042), require substantial capital for renewals and future auctions, subject to strict DoT rollout obligations and penalties.
  2. A significant portion of the network relies on a limited group of infrastructure providers. Specifically, 174,451 of its 360,382 Network Towers are owned by Summit Digitel Infrastructure Limited (SDIL), and the company relies on Jio Digital Fibre Private Limited (JDFPL) for substantially all optic fibre requirements outside last-mile connections.
  3. The group had outstanding fund-based borrowings of ₹715,292 million as of March 31, 2026, which subjects the business to financial covenants, foreign currency fluctuation exposure (e.g., ECBs), and interest rate risks.
  4. The Indian connectivity space remains price-sensitive and competitive. Customer retention, ARPU sustainability, and churn (1.67% monthly churn in exit quarter FY26) face headwinds from tariff changes and SIM consolidation.
  5. Operations involve storing large volumes of subscriber data, creating compliance exposure under the Digital Personal Data Protection Act, 2023 (DPDP Act) and penalties of up to ₹2,500 million for non-compliance, alongside stricter AI and intermediary regulations.
